Terms and Conditions
1. These Special Conditions, together with the order form and the General Terms and Conditions for the provision of services to customers of DIGITAL SEO S.COOP. (hereinafter, "Digital SEO") are available at https://digitalseo.coop/legal/condiciones-generales-de-contratacion (hereinafter, the "GTC"), constitute the contract (hereinafter, "the Contract") between DIGITAL SEO S.COOP. and the Customer, for the provision of the PrestaShop Online Store Positioning Service (hereinafter, the "Service"), with the characteristics and conditions set forth below.
2. By signing or accepting the Order Form, the Customer fully and unreservedly accepts these Special Conditions and the GTC, which can be accessed through the e-mail address indicated in the previous paragraph.
3. To contract a Digital SEO quote offered through our platform, Client portal (Holded) must follow the phases of the process indicated therein: (i) access the client portal provided by email, (ii) check the summary of the quote, (iii) review the applicable Special Conditions, GTC and promotional terms, (iv) provide billing information, (v) provide payment information, (vi) accept the quote.
4. To contract through Digital SEO's online store the services offered in that channel, you must follow the phases of the process indicated therein: (i) choose the desired services, (ii) check the purchase summary, (iii) fill in the requested customer and billing information, (iv) provide the payment information, (v) accept the applicable Particular, GTC and promotional conditions and (vi) accept the purchase conditions.
5. Upon receipt of the Order Form, Digital SEO will immediately send to the Client the confirmation of the order placed to the e-mail address provided, attaching a PDF copy of the Order Form.
Object
1. These Terms and Conditions, without prejudice to the provisions of paragraph 1, regulate the commercialization of the Service, offering the Customer a comprehensive maintenance for the positioning, optimization and management of web content developed in PrestaShop. This service, called 360º Ecommerce Positioning Maintenance, includes SEO optimization, content creation and maintenance, security, updates, and technical support for the PrestaShop CMS and its associated components.
2. Scope of the PrestaShop Online Store Positioning Maintenance Service:
3. PrestaShop Technical Maintenance:
  - Updates and configurations: Updating and configuration of PrestaShop core, modules and template.
  - Programming and development: Php template or theme to change records or fields and add special features, Html and CSS.
  - Server and email configuration: Server and email configuration in the CPanel of the server or hosting.
  - Backup and Restore: Backing up files and databases prior to any upgrade, and restoring copies if necessary. These backups will be securely stored and available for restoration in case of failure or data loss.
  - Cleaning and optimization: PrestaShop and hosting cleanup to improve performance: remove visitor data, outdated offers, searches, pages not found, abandoned carts. Optimize database tables, defragmentation and repair.
  - Security: Cleaning and disinfection of PrestaShop and database in case of hacking or external threats.
  - Scheduled maintenance: maintenance, updating and optimization tasks during low activity hours of the online store, in order to minimize any impact on sales. In cases where it is necessary to perform critical tasks during high activity hours, Digital SEO will previously coordinate with the Client to agree on the best time to perform such tasks.
  - Testing of major updates: Before implementing major updates to PrestaShop or critical modules, Digital SEO will perform extensive testing in a development environment to ensure the compatibility and stability of the website. The Client will be informed of any possible disruption that may result from these updates.
  - Site availability monitoring: Digital SEO will implement a system of continuous monitoring of website availability. In case of detecting any downtime or critical issues, real-time alerts will be triggered and the support team will take immediate action to restore functionality.
  - Technical support: Support service for incidents in less than 72 hours.
4. SEO (Search Engine Optimization):
  - Monthly SEO audit, keyword optimization, metadata optimization, internal and external link review, position monitoring, and negative link disavowal (negative SEO).
5. WPO (Web Performance Optimization):
  - Load speed optimization, advanced cache implementation, file compression and minification. Functionality and usability testing.
6. Content creation and maintenance
  - Creation of 4 monthly blog posts, optimized for SEO, and updating of existing content.
7. Management of Publications in Social Networks:
  - Publication of products and/or services and new blog posts on Google My Business, LinkedIn, Facebook, and Twitter.
8. Google Search Console:
  - Monitoring of errors and indexing problems, search performance analysis and sitemap management.
9. Google Merchant Center, Local SEO:
  - Updating and optimizing product feeds, correcting errors in feeds, correcting errors in feeds, configuration, optimizing Shopping campaigns and troubleshooting rejected products.
10. Google Analytics:
  - Configuration and customization of reports, monthly analysis and recommendations, and implementation of objectives and events.
11. Monthly reports:
  - Detailed monthly reports on SEO performance, WPO, content, and social media activity.
12. Support and advice:
  - Priority support service for incidents in less than 72 hours.
13. Critical incident support:
  - In the event that the Client experiences a critical issue that affects the online store's ability to process sales, such as website downtime or payment system failures, Digital SEO is committed to prioritizing the resolution of the issue to minimize the impact on sales. These types of incidents will be handled on an urgent basis, with an initial response time of less than 8 hours during business hours.
Content and materials
1. Provision of content for updates: Client agrees to provide in a timely manner all content necessary for website updates and optimization, such as product descriptions, images, and any other materials related to the addition of new products or services, as well as content for blog or SEO improvements. All materials must be delivered in digital formats and within the deadlines agreed upon with Digital SEO.
2. Content processing and publication: Digital SEO will work to prepare, optimize and publish the content delivered by the Client within a reasonable timeframe. Due to the necessary review, optimization and schedule management process, it is estimated that the standard time for content publication can be up to 7 business days from receipt of the material by Digital SEO.
3. Urgent requests: In the event that the Client needs specific content to be published in a shorter timeframe, Digital SEO will evaluate the possibility of fulfilling the request based on the complexity of the task and the availability of the team. If possible, an additional charge for urgent service will be applied, which will be previously budgeted with the Client.
4. Access to social media management tools: Digital SEO can provide the Client with access to professional social media management tools, so that the Client can review, authorize, or even schedule their own posts, always under Digital SEO's supervision to ensure consistency and quality of content. This option can be especially useful for clients who wish to have greater control over their social media campaigns.
5. Customer Responsibility: The Client is responsible for the accuracy and legality of the content provided, as well as for ensuring that any new material delivered is free of unauthorized copyrights and complies with applicable regulations. The Client shall deliver content and materials in the agreed formats and times to avoid delays in the implementation of updates. Any non-compliance in this area resulting in legal or copyright issues shall be the sole responsibility of the Client, and Digital SEO shall be held harmless from any liability.
6. Consequences of late delivery of materials: If the Client fails to deliver the required content by the agreed deadlines, Digital SEO reserves the right to adjust project delivery times, and any additional work required to compensate for these delays may be quoted and invoiced separately.
Length of service
1. Start of service: The service will start on the date agreed between the parties, once the contract has been formalized and the first payment corresponding to the selected payment option has been received.
2. Annual contract. The Customer must give at least 30 days' notice of intention to cancel the service. During this period, the service will continue to be provided and billed normally.
3. Automatic Renewal. The contract shall be automatically renewed for successive one-year periods, unless either party gives notice of its intention not to renew at least 30 days in advance.
Price and payment
1. The price of the maintenance service shall be the price and means of payment stated in the Order Form plus VAT per month, payable at the beginning of each month. In case of cancellation, the Customer shall be liable for the payment of the services rendered until the effective date of termination of the contract.
2. Cancellation Conditions. If the Client decides to cancel the contract it must notify Digital SEO at least 30 days in advance.
3. Terms of payment. Payment will be made on a monthly basis.
4. Annual price review. Digital SEO will perform an annual review of the price of the maintenance service, which will take place at the beginning of the fiscal year, contracts signed in the last quarter of the year will not be applied the CPI increase of the following year. Any price adjustment will be based on the evolution of the Consumer Price Index (CPI) and other relevant economic factors. Digital SEO will notify the Client at least 30 days in advance of any increase in the price of the service. If the Client does not accept the new price, the Client may choose to cancel the contract with 30 days notice, without penalty.
Service Modifications and Additional Requests and Cancellations
1. Minor modifications included. Within the maintenance service, Digital SEO may include the implementation of minor modifications or adjustments that do not exceed the limit of hours established in the contract. These modifications may include, but are not limited to, text changes, the addition of buttons, simple functionalities, forms, or minor adjustments to the website design.
2. New requests. Any requests must be quoted separately. Digital SEO will provide the Client with a detailed quote for prior approval before additional work is initiated.
3. Scalability and additional services. In the event that the Client requires the scalability of the service to cover new needs derived from the growth of the website, such as the integration of new functionalities or services, Digital SEO will provide a specific additional budget. This budget will be previously agreed with the Client before proceeding with any additional implementation.
Intellectual Property
1. Client's Rights: All intellectual property rights to the design, including text, images, icons, and other visual elements created specifically for the project, will belong to the Client upon full payment.
2. Exceptions: Plugins or modules, themes or templates, and other software components used shall be subject to third-party licenses for use as specified in the GTC.
3. Technical Documentation and Access. Digital SEO will provide Client with all relevant technical documentation related to configurations and customizations made to the website during the maintenance period.
Customer Obligations
1. Active collaboration: The Client agrees to provide access to the necessary platforms (Google Search Console, CPanel, social networks, etc.) and any other material that Digital SEO requires for the correct execution of the service.
2. Review and Approval: Client shall review and approve Digital SEO's proposed publications and configurations within 7 days of delivery of drafts. Failure to respond will be considered tacit acceptance.
Communication and response times
1. Digital SEO and the Client agree to maintain a fluid and clear communication during the term of the contract, to be effective within a period of 3 days, with a term no longer than 7 business days. In addition to assigning a person for communications.
Warranty
1. Performance guarantee. Digital SEO guarantees the proper performance of the maintenance services provided under this contract, provided that the website and associated systems remain free of unauthorized modifications and the agreed service conditions are met. This warranty covers:
  1. Operation of plugins and tools: Digital SEO guarantees the proper operation of the modules and premium tools provided during the term of the contract, according to the normal and correct use of the same.
  2. Updates and maintenance: Digital SEO guarantees that all updates to the PrestaShop core, modules, and themes will be done securely, and that backups will be made before each update, following best practices to minimize risk.
2. Problems resulting from updates. In the event that an update of a module or template, causes problems in the operation of the website, Digital SEO is committed to fix the problem as soon as possible to minimize the impact on the Client's business. During this process, Digital SEO will implement all necessary measures to restore the functioning of the website in the shortest possible time.
3. Guarantee of visual materials: All images, photographs, or icons used on the website will be acquired from professional image banks with their respective licenses for commercial use or will be self-created using original software. Digital SEO guarantees that these resources are free of unauthorized copyrights and are legal for use in the Client's project.
4. Warranty exclusions. This warranty does not cover problems or errors resulting from:
  1. Unauthorized Modifications: Any modification made by Client or third parties without Digital SEO's consent.
  2. External Interference: Problems caused by hacks, malware, or any other external interference unrelated to the maintenance services provided by Digital SEO.
5. Limitations of Warranty. Digital SEO shall not be liable for the ineffectiveness of the measures implemented due to factors outside the control of Digital SEO, such as changes in search engine algorithms, incompatibilities with third party software.
6. Warranty Term: This warranty shall remain in effect for the entire period during which the Client has an active maintenance contract with Digital SEO. In the event of termination of the contract, the warranty will automatically expire, and Digital SEO will assume no further responsibility for the condition of the website or its components.
Use of premium licenses and modules
1. Licenses provided by Digital SEO. During the term of the maintenance service, Digital SEO will provide the Client with access to various tools, templates and premium modules necessary for the proper functionality and optimization of the website. These licenses will be included as part of the service while the contract is active. Once the contract ends, the Client will need to purchase their own licenses if they wish to continue using the premium versions of these plugins and tools.
2. Deactivation of licenses and modules. In the event of termination of the maintenance service, all licenses, templates and premium modules provided by Digital SEO will be deactivated or reverted to their free versions, if any. Client will be required to purchase its own licenses if it wishes to continue using the premium versions of such modules and tools.
3. Impact of Deactivation. Digital SEO will not be responsible for any negative impact on the functionality, performance, legal compliance, or positioning of Client's website as a result of the deactivation of premium licenses and modules after the end of the maintenance contract.
4. License Renewal. For tools, modules or templates that require annual renewals, the Customer has two options:
  1. Through Digital SEO: Client may choose to purchase licenses for premium tools or modules directly through Digital SEO. Digital SEO will manage the renewal and the cost will be billed to the Client. This sale is limited exclusively to the delivery of the license, not including technical support, configuration, or assistance for integration or troubleshooting associated with the use of such license. Once the license is delivered, the Client will be responsible for its management and use.
  2. Directly with the supplier: Alternatively, the Client may manage and pay for the renewal of licenses directly with the software supplier. Digital SEO will not be liable for any problems arising from incorrect renewal or improper management by the Client, including loss of functionality, security issues, or incompatibilities that may arise.
5. Exceptions. In case the Customer has directly purchased any of the licenses for the mentioned modules, these will remain active after the end of the contract and will not be affected by the termination of the maintenance service.
Limitations of liability
1. Digital SEO shall not be liable for the ineffectiveness of the measures implemented due to factors beyond Digital SEO's control, such as changes in search engine algorithms, technical problems not attributable to its management, or the deactivation of licenses and premium plugins after the end of the contract.
Confidentiality and data protection
1. Both parties agree to maintain the confidentiality of the information exchanged during the execution of this contract, in accordance with the provisions of the GTC(https://digitalseo.coop/legal/condiciones-generales-de-contratacion ) and the current regulations on data protection.
2. Regulatory Compliance. Digital SEO undertakes that all maintenance activities and any handling of personal data on behalf of the Client will be carried out in compliance with the General Data Protection Regulation (GDPR) and any other applicable regulations. Digital SEO will take all necessary measures to protect personal data and ensure that any processing of such data complies with applicable legal requirements.
Quotations and accompanying documentation
1. Budget generation. Quotes for PrestaShop Online Store Positioning can be generated and formalized in two ways:
  1. Generation through the Customer Portal (Holded): The Customer may receive and accept a detailed quotation sent through the Customer Portal platform, following the steps indicated in said platform.
  2. Online Purchase through the online store: The Client will be able to generate and accept the quotation through Digital SEO's online store. This process will include the review and acceptance of the applicable CGP.
2. Documents attached. The following documents shall be attached to this particular conditions contract:
  1. Quote Document Generated in the Customer Portal: Detailed document sent and accepted through the Customer Portal, which includes the specific terms of the contracted service.
  2. Quote Document Generated in the online store: Document that contains all the details of the purchase and acceptance made online, including the products, services contracted, and the applicable terms.
3. Acceptance of the quotation: Acceptance of the quotation, either through the Customer Portal (Holded) or in the online store, implies the Customer's full conformity with the terms and conditions detailed in this contract and in the GTC.
